안녕하세요. 올해 6월부터 대학생 팀원들과 모여 스타트업 법인 등록을 하고 사업자 등록은 하지 않았습니다. 그러던 중, 내부 갈등이 심해져 분쟁이 생겼는데 '프로젝트를 탈퇴'하겠다는 팀원에 대해서, 대표가 '출자금을 돌려줄 생각이 없다.' '출자금을 돌려주기 전에 비용 정산을 하겠다. (대표가 사비로 처리한 행정 비용 및 기타 등등에 대해서 모두 정산 처리를 하겠다고 합니다.' '행정 처리 비용은 자진 퇴사를 밝힌 본인이 부담하라' 이런 뜻을 밝히고 있는데, 법적으로 어떤 대응을 해야 할까요...? 사실 이런저런 문제들이 많아서, 팀원들의 경우에는 지분을 받는 대신 무급으로 2달간 근무를 하였는데, 사업자 등록이 완료되지 않아서 지분도 확정되지 않은 상태이고 사실상 일한 것에 대한 비용은 받은 게 없는 상황입니다. (사무실도 없이 대학 도서관이나 사무실이나 카페에서 일해서 출퇴근 확인 기록은 제출하기 어려운 상황입니다.') 거기에 더해서 사실 대표가 다른 팀원들에게 위의 자진 퇴사 의사를 밝힌 팀원을 '토사구팽'하겠다. '투자금만 확보되면 출자금만 돌려주고 팽할 것' 이라는 말을 종종 하고 다니던 상황입니다. 듣기로는 다른 팀원에게도 '너를 계속 두고 있는 건 O년간 너를 본 정밖에 없다.' '생산성이 낮다는 이유로 너는 이미 충분히 손절 가능하다' 라고 폭언을 하고 다니던 상황입니다. 이 복잡한 상황을 어떻게 풀어나가야 할까요? 그리고 대표가 사업을 진행하는 데에 있어서 사실 저희는 시드라운드 투자 유치도 완료하지 못했는데 '시리즈 A로 OO억 원 투자를 잠정적으로 논의하고 있다.' (아직 시드라운드 투자금도 확정되지 않아서, 채용을 보류하고 있던 지원자를) 'OOO 씨를 이미 채용하고 있으며 업무를 하고 있다며 투자자와 다른 측에게 서류 상으로 거짓말을 해놓은 상황입니다' 이런 문제들도 어떻게 해결해야 할지... 감사합니다...! 사업자등록과 지분 관계는 상관이 없습니다. 사업자는 세금 때문에 등록 신고하는 것이기 때문이지요. 법인은 설립된 것으로 보이는데, 스타트업이면 통상 주식회사일 것이고 주식으로서 지분 관계가 형성되어 있을 것으로 생각됩니다. 팀원이 지분을 가지고 있다면 주식을 들고 있는 것일텐데 대표이사가 지분 인수를 거절한다는 뜻인지, 출퇴근 얘기도 하시는 것을 보면 아예 임원이 아닌 근로계약을 한 단순 근로자인지 혼란스럽기도 합니다.
어떤 식으로 지분 관계가 형성되어 있는지 명확해야 정확한 사태 파악이 될 것으로 보입니다.
