안녕하세요 엄청나게 작은 주식회사의 대주주분께 대표로 초빙을 받게 되었는데요, 저나 그분이나 회사 경영에 대해 모르는 게 많아서 ㅎㅎ 서로 좀 웃긴 상황입니다. 1) 주주들이 대표를 선임하고 해임할 권리가 있다고 알고 있는데요, 그럼 주식회사의 주주는 대표로부터 보통 어떤 대가를 어떤 주기로 받나요? 이들은 투자한 금액에 대해 어떤 보상을 받게 되는 건가요? (즉 제가 이분께 뭘 대가로 돌려드려야 하는 건지요?) 2) 회사의 재정 상황.. 재무재표 같은 건 대표가 반드시 가지고 있어야 하는 정보지요? 주주가 이것을 비공개로 할 수 있나요?(아무래도 이 분이 이것까지 저에게 공개하는 걸 꺼려하시는 것 같습니다 ) 재정권을 주주가 가지고 있는 상황에서,, 대표란 게 의미가 있을까요? 사업을 벌리려고 해도 주주분께 결제를 받아야 하는데, 이게 작은 회사에서라면 보통 있는 상황인가요? 3) 사업자를 제 이름으로 한다고 했을 때(주주의 제안)... 저는 회사의 정보를 어느 정도까지 알고 있어야 하고, 주주는 어디까지 저에게 공개해야 하나요? 사업을 이끌어 갈 사람은 필요한데, 손수 키워오신 회사의 재정은 공개하고 싶지 않으시고.. 대신 초기 몇 년은 사업 자금을 회사에서 대주신다고 하는데, 결국은 대표가 주주의 결제를 받아야 하는 모양을 그리고 계시는 거 같고.. 물론 그분에게도 저란 사람이 리스크이겠지만, 대표를 원하시는 건지 사업국 직원을 원하시는 건지가 헷갈립니다. 참 회사에 빚은 하나도 없는, 깨끗한 상황이긴 합니다. 업계에서 나름 자리도 나쁘지 않게 잡고 있고요. 인성/책임감/투명성 측면에서는 인간적으로 신뢰가 깊으신 분이시고, 저도 한 20년 넘게 연을 맺어온 분이라 서로 등을 치거나 하는 상황은 아닙니다. 다만 사업을 자유롭게 하지 못할 대표라면 지금 직장 그만두고 갈 이유가 없어서 여쭙습니다. 감사합니다. 2) 3) 아무리 전문경영인이라고 하더라도, 주식회사는 대표이사가 대외적으로 모든 책임을 부담합니다. 회사를 대표한 모든 업무는 대표이사 명의로 이루어지고, 대표이사는 회사를 대표하여 운영할 책임이 있습니다. 대표이사가 회사의 모든 정보를 공유하고 이것이 주주와도 공유되어야지, 명의만 대표이사이되 회사 돌아가는 사정은 모르고 주주가 하라는대로 하는 바지사장(....)노릇을 하라는 것이라서.. 문제가 생기면 책임만 커지고 "나는 몰랐다"는 말로 책임을 피할수는 없는 자리라, 저라면 모든 정보를 오픈하지 않으면 못한다고 할 것 같습니다.

2) 3) 아무리 전문경영인이라고 하더라도, 주식회사는 대표이사가 대외적으로 모든 책임을 부담합니다. 회사를 대표한 모든 업무는 대표이사 명의로 이루어지고, 대표이사는 회사를 대표하여 운영할 책임이 있습니다. 대표이사가 회사의 모든 정보를 공유하고 이것이 주주와도 공유되어야지, 명의만 대표이사이되 회사 돌아가는 사정은 모르고 주주가 하라는대로 하는 바지사장(....)노릇을 하라는 것이라서.. 문제가 생기면 책임만 커지고 "나는 몰랐다"는 말로 책임을 피할수는 없는 자리라, 저라면 모든 정보를 오픈하지 않으면 못한다고 할 것 같습니다.
