1. 들어가며 법인세는 법인의 소득에 대하여 부과하는 세금이고, '법인의 소득'이라 함은 법인의 익금에서 손금을 제한 금액으로 산정됩니다(법인세법 제14조 제1항). 여기서 '손금'의 범위와 관련하여 법인세법 제19조 제1항은 “손금은 자본 또는 출자의 환급, 잉여금의 처분 및 이 법에서 규정하는 것은 제외하고 해당 법인의 순자산을 감소시키는 거래로 인하여 발생하는 손실 또는 비용[이하 “손비”(損費)라 한다]”의 금액으로 한다고 규정하고, 동법 제19조 제2항은 “손비는 이 법 및 다른 법률에서 달리 정하고 있는 것을 제외하고는 그 법인의 사업과 관련하여 발생하거나 지출된 손실 또는 비용으로서 일반적으로 인정되는 통상적인 것이거나 수익과 직접 관련된 것으로 한다”라고 규정하여, 법문상 일응 해당 법인의 사업과 관련한 것이면 폭넓게 손금으로 인정될 수 있도록 되어 있습니다. 그러나 이처럼 법인의 사업과 관련된 것을 모두 손금으로 인정한다면, 법인의 부당지원행위에 소요되는 비용이 손금으로 인정되어 법인세액 부담이 경감하고 오히려 부당지원행위를 장려하는 결과가 초래될 수 있습니다. 가령 법인이 자신의 사업 중 일부 업무를 전담시키기 위하여 별도 자회사를 설립하고 해당 자회사의 주식을 모회사 법인의 친족 등 특수관계인에게 발행한 후 마찬가지로 특수관계인에게 경영을 맡도록 한 경우, 모법인이 자회사의 사업을 위해 지출한 금원은 모법인의 사업을 위한 손금으로 인정되어야 하겠지만, 이는 동시에 자회사에 대한 (부당)지원행위가 됨과 동시에 일정한 경우 특수관계인에 대한 법인 자산 증여행위가 될 수도 있습니다. 이러한 경우를 규제하기 위하여 법인세법 제26조는 "다음 각 호의 손비 중 대통령령으로 정하는 바에 따라 과다하거나 부당하다고 인정하는 금액은 내국법인의 각 사업연도의 소득금액을 계산할 때 손금에 산입하지 아니한다"라고 규정하고, 제4호는 "법인이 그 법인 외의 자와 동일한 조직 또는 사업 등을 공동으로 운영하거나 경영함에 따라 발생되거나 지출된 손비"를 규정하여, 이른바 '공동경비'의 경우 손금에서 배제되도록 정하고 있습니다. 그리고 손금불산입되는 공동경비의 산정 방식과 관련하여, 위 법률의 위임을 받은 법인세법 시행령 제48조 제1항은 '공동경비 중 다음 각 호의 기준에 따른 분담금액을 초과하는 금액은 해당 법인의 소득금액을 계산할 때 손금에 산입하지 아니한다'라고 규정하고, 제1호는 출자에 따라 특정사업을 공동으로 영위하는 경우에는 ‘출자 비율’에 따르도록 하며, 제2호는 비출자공동사업자 사이에 특수관계가 없는 경우에는 ‘약정상 분담비율’에 따르도록 하고, 제3호는 비출자공동사업자 사이에 특수관계가 있는 경우에는 원칙적으로 각 법인의 직전 또는 해당 사업연도의 매출액 총액 중 해당 법인의 매출액이 차지하는 비율을 기준으로 산정된다고 규정합니다(*예를 들어, 갑 법인이 자회사인 을 법인과 공동으로 사업을 영위하여 총 100의 비용을 지출하였고, 그 중 갑 법인이 지출한 비용은 80인데 갑 법인과 을 법인의 매출 비율은 1:1로 동일하다면, 100 중 50의 비율을 초과하는 30(=80-50)만큼의 비용은 '공동경비에 대한 분담비율을 초과하는 과다경비'로 보아서 갑 법인의 손금에 산입하지 않는다는 것입니다). 그러나 위 규정은 공동경비의 '분담비율'에 대한 것일 뿐, 그 비율의 적용대상이 되는 '공동경비의 액수'에 대한 구체적 기준을 제시하고 있지 않기 때문에, 공동경비의 액수와 관련하여 납세자와 과세관청 사이의 다툼의 여지가 많습니다. 가령 같은 물품을 취급하는 갑 회사와 을 회사가 광고를 공동으로 제작하여 배포하는 경우, 공동경비의 액수를 특정하기 위하여는 갑, 을 회사의 각 전체 판매, 관리비용 중 해당 광고 프로젝트에 직접 소요된 비용만을 특정해야 할 것인데, 대부분의 경우 해당 광고 프로젝트에 대한 전담 인력이 있는 것이 아니고 갑, 을 회사의 담당 직원이 다른 일도 함께 수행하는 과정에서 해당 광고 프로젝트도 같이 수행하였을 것이므로, 갑, 을 회사가 각 직원들에게 지급한 인건비 중 어느만큼이 구체적으로 '공동경비'에 소요된 액수인지는 분명하지 않기 때문입니다. 2. 대상결정 이와 관련하여, 조세심판원 2023. 11. 27. 조심2023중7058 결정(이하 '대상결정')에서는 우산 등 물품을 제조하는 갑 법인이 그 물품의 판매 플랫폼 구축, 운영, 광고기획 및 집행 등 업무를 위해 별도의 을 법인을 설립하고 사업을 영위하자 과세관청이 을 법인의 사업 전체를 갑, 을 법인의 공동사업으로 보아 갑 법인과 을 법인의 판매, 관리비 전액을 '공동경비'로 산정한 후 이를 전제로 갑 법인에게 한 법인세 부과처분이 문제되었습니다. 과세관청은 (1) "청구법인(*갑 법인)과 쟁점법인(*을 법인)은 동일한 물류창고를 사용하고, 청구법인의 소속 직원들이 청구법인의 업무뿐만 아니라 쟁점법인의 세금계산서 발급 등 경리업무에서부터 영업, 물류관리까지 전반적인 업무를 사실상 동시에 수행하고 있"다는 점 (2) "청구법인의 온라인팀 소속 직원들 역시 청구법인 소속으로 급여를 받고 있으나, 쟁점법인이 청구법인 생산 제품의 온라인 판매를 담당하고 있는 점을 고려할 때 위 직원들이 실제로는 쟁점법인의 업무를 담당하고 있는 것을 확인할 수 있고, 해당 직원들은 청구법인의 디자인팀 및 MD팀(상품기획팀)과 협업하여 업무를 진행하며 주요 업무사항의 경우 청구법인의 대표이사 AAA에게 업무 보고를 진행하고 있다"는 점 등을 고려하여 위 처분을 하였습니다. 그러나 조세심판원은 대상결정에서 (1) 을 법인의 사업이 갑, 을 법인의 공동사업에 해당한다는 점은 인정하면서도 (2) "청구법인의 사업부로 관리팀, 물류팀, 영업팀, 디자인연구소, OOO팀, OOO팀 등이 있고 그 중 온라인팀, 관리팀, 물류팀 직원의 일부가 쟁점법인의 온라인몰 운영, 세금계산서 발급, 물류 관련 업무를 대신하고 있는 것으로 보이기는 하나, 위 온라인팀, 관리팀, 물류팀의 직원 외의 나머지 다른 직원들 및 다른 부서 직원들이 구체적으로 쟁점법인의 업무를 전담하거나 부분 수행하고 있는 사실이 확인되지 않음에도, 동 직원의 인건비 그리고 임차료, 대손충당금, 지급수수료 등 청구법인에 전속되는 모든 판매비 및 관리비를 공통경비로 본 것은 과도해 보이는 점" 등에 비추어 갑, 을 법인의 판매, 관리비 전액을 공동경비로 볼 수는 없다고 하였습니다. 3. CFO Note (1) 공동경비의 구체적 액수를 특정하는 것이 매우 어려우므로, 과세관청은 세무조사 단계에서 이를 아예 특정하지 않고 법인의 판매, 관리비 전액을 공동경비로 판단해버리고, 이의가 있으면 소송으로 해결하라는 식으로 나오는 경우가 있습니다. 이 경우 설령 소송으로 해결하더라도 세액을 먼저 납부한 다음 적게는 수개월, 많게는 수년동안 판단을 기다리기 때문에, 그 기간동안 금융비용을 지출하거나 유동성이 악화되는 등으로 위기를 겪을 수 있습니다. 그러므로 다른 법인과 공동사업을 영위하는 경우 회사가 선제적으로 해당 공동사업에 소요된 공동경비를 산정하고, 그 산정에 이른 합리적 이유를 문서로 남겨두는 것이 좋겠습니다. (2) 사내 보고용으로 원가관리회계 장부를 만들어서 관리하는 것도 고려해볼 수 있겠습니다. 스타트업, 중소기업의 경우 소품종을 생산, 판매하던 초기에는 원가 계산이 복잡하지 않고, 제조원가와 판매, 관리비에 각 할당된 비율도 직관적으로 산정할 수 있습니다. 그러나 회사가 급격하게 성장하면서 포트폴리오가 늘어나고 조직이 커지면 원가계산이 복잡해지는데, 그럼에도 경리부서에서는 매출, 매입, 판매, 관리비 기타 잡비로만 장부를 대별하여 기초적인 회계처리만 하는 경우가 있습니다. 이 경우 과세관청과의 관계에서 다툼이 발생하면 주장할 근거가 막역합니다. 대상결정 사안의 경우에도 갑 법인과 을 법인의 각 사업에 소요된 갑 법인의 판매, 관리비를 일응의 근거를 갖고 분리하여 계상하였으면, (설령 그것이 아주 정확하지는 않을 수 있어도) 세무조사 단계에서 주도권을 갖고 과세관청의 처분에 반박할 수 있었을 것이고, 사업상으로도 더욱 정확한 재무판단에 입각한 의사결정을 위한 기초 토대가 될 수도 있을 것입니다.
