1. 들어가며 법인세법 제19조 제1항은 “손금은 자본 또는 출자의 환급, 잉여금의 처분 및 이 법에서 규정하는 것은 제외하고 해당 법인의 순자산을 감소시키는 거래로 인하여 발생하는 손실 또는 비용”의 금액으로 한다고 규정하고, 동법 제19조 제2항은 “손비는 이 법 및 다른 법률에서 달리 정하고 있는 것을 제외하고는 그 법인의 사업과 관련하여 발생하거나 지출된 손실 또는 비용으로서 일반적으로 인정되는 통상적인 것이거나 수익과 직접 관련된 것으로 한다”라고 규정하여, 손금의 요건으로 (1) 법인의 순자산을 감소시키는 거래로 인하여 발생하는 금액으로서 (2) 사업관련성 (3) 통상성 (4) 수익관련성이 있는 것을 정하고 있습니다. 이와 관련하여 법인이 타인을 위하여 그 타인이 지급해야 할 금원 등을 대신 지급한 경우, 그 금원 지급의 성질이 무엇인지 여부 등이 쟁점으로 되는 경우가 있습니다. 과세관청은 일반적으로 타인의 채무를 대신 지급하는 것은 자신의 사업과 무관한 것으로서 사업관련성이 없거나, 타인의 채무를 대신 지급한 자는 타인에게 ‘구상채권’을 취득하므로 ‘순자산의 감소’가 없다는 등의 이유로 해당 지급 금원의 손금 산입을 불인정하고 있습니다(법인 46012-1809, 1999.05.13 등 참조). 그러나 일정한 경우, 즉 (1) 자회사가 모회사의 사업을 수행하는 등으로 모회사가 자회사를 위하여 지출하는 금원이 사실상 모회사의 사업과 관련된 것이거나 (2) 국내 수출상이 해외 진출을 위하여 설립한 해외법인의 금융확보 및 물품판매의 지원 등을 위하여 그 채무를 대신 이행하여 주는 경우 (3) 약정상 구상채권을 행사하지 않기로 하는 등으로 구상채권의 성립이 인정되지 않는 예외적 사유가 있는 경우 등에는 지출 법인의 손금산입을 인정해야 할 필요도 있을 것인 바, 그 손금산입 인정 여부에 대하여 납세자와 과세관청 사이에 다툼의 여지가 있습니다. 2. 대상판결 관련하여 대법원 2007. 6. 14. 선고 2005두12251 판결(이하 ‘대상판결’이라고 합니다)에서는 국내 수출상이 해외 진출을 위하여 해외에 현지법인 설립하고, 해외법인에 물품을 판매하면서 대금을 바로 수취하지 않는 대신 해외 은행에게 해외법인으로부터 대금을 직접 수취할 권한을 부여하는 방식(이하 ‘선수출방식’이라고 합니다*)으로 거래를 한 경우, 해외 현지법인이 해외 은행에 대한 대금 지급의 만기일까지 대금을 지급하지 않아 발생한 ‘지연이자’가 내국법인인 국내 수출상의 ‘손금’으로 산입될 수 있는지 여부 등이 문제되었습니다. *무역실무상 '추심결제 방식'이라는 말이 더 보편적으로 쓰입니다만, 대상판결에서 '선수출방식'이라는 표현을 사용하므로 본고에서는 그에 따릅니다. 이에 대하여 원심인 서울고등법원은 (1) [원칙] "수출상이 그 생산제품을 선수출방식(D/A조건)으로 해외의 수입상에게 수출하면서 거래은행으로부터 수출환어음을 할인매도하는 형식으로 수출금융을 받았는데 수입상이 그 어음금을 만기일까지 은행에 입금시키지 않고 며칠씩 지연시키는 바람에 수출상이 은행과의 사전약정에 따라 지연이자를 지급하였다면 그 지연이자는 특단의 사정이 없는 한 수입상이 부담하여야할 것을 수출상이 대신 지급한 것으로 보아야 하므로 수출상으로서는 지급과 동시에 수입상에게 동액 상당의 구상권을 가진다 할 것이고, (...)원칙적으로 위 지연이자는 법인세법상 손비의 범위에 포함되지 아니"한다는 법리를 전제하면서도 (2) [예외] 국내 수출상이 해외현지법인에게 "제품을 수출함으로써 그 수출대금의 결제는 환어음의 만기에 관계없이 현지법인이 수입한 물품을 판매하는 대로 결제하기로 약정"한 경우 등에는 그 만기 이후에 대금을 지급함으로써 발생하는 지연이자를 국내 수출상 법인의 손금에 산입할 수 있는 '예외사유'가 될 수 있을 것이라고 여지를 남겨 두었습니다. 그러나 서울고등법원은 당해 사안의 경우 (1) "대금 결제에 관한 약정은 거래의 핵심적인 중요한 사항임에도 불구하고 D/A 수출기본약정서(갑 제4호증)상에 대금결제를 환어음의 만기에 관계없이 수출물품이 판매되는 대로 지급하기로 한다는 약정이 없다"는 점 (2) 원고는 "수출관행상 STOCK 판매라는 용어는 수출상인 본사가 수입상인 해외현지법인에게 일정 물량의 제품을 수출하고, 해외현지법인은 수입한 제품을 재고형식으로 보관하면서 해외시장에서 제품이 판매되는 대로 국내 본사에게 수출대금을 결제하는 방식을 의미하는 것이라고 주장"하지만, "수출기본약정서 제3조에서 그 항목 중 하나로 'STOCK 판매분'이라는 항목을 별도로 둔 점에 비추어 보면", (국내 수출상과) "해외현지법인 사이의 수출거래는 그 거래 전체가 STOCK 판매분이라는 원고의 주장과는 달리, STOCK 판매분에 해당하는 부분과 그렇지 아니한 부분이 혼재하여 있을 수 있다고 보"인다는 점 등을 이유로 결국 위 지연이자가 손금에 산입될 수 있다는 점을 전제로 하는 원고의 청구를 기각하였고, 대법원은 원심의 위와 같은 판단을 모두 수긍하였습니다. 3. CFO Note 수출회사, 무역회사 또는 지리적 제약이 없는 IT 회사 등의 경우 해외법인을 설립하고 해외에서 영업을 전개하는 경우가 많습니다. 그러나 모든 해외법인의 자본을 충실하게 설정하는 것은 현실적인 어려움이 있기 때문에 지급능력이 충분한 국내 본사가 해외법인의 채무 등을 대신 이행하는 경우가 있습니다. 이 경우 과세관청의 입장에서는 국내 본사가 자신의 사업과의 관련성 없이 타인의 채무를 대신 변제하는 것이라고 볼 여지가 있고, 최악의 경우 '특수관계인에 대한 업무무관 지급금'으로 파악되어 세무상 다양한 불이익을 받을 가능성이 있습니다. 이에 국내 본사가 해외 지사의 채무를 대신 이행하는 경우 그 대금결제와 관련한 비용이 수출 물품 판매 등 국내 본사의 사업과 직접 관련되는 것이라는 점을 기본계약서상에 명시하고, 실제로도 서로 연동될 수 있도록 구조화하는 것이 좋겠습니다.
